Terms of Service

These Terms of Service (the “Agreement”) govern your access to and use of the services provided by WeezIQ (“WeezIQ,” “we,” “our,” or “us”). By (a) purchasing or subscribing to the Service, (b) creating an account (free or paid), or (c) clicking or otherwise indicating acceptance of these Terms, you agree to be bound by this Agreement.

If you are entering into this Agreement on behalf of a company or other legal entity (“Customer”), you represent that you have the authority to bind that entity and its affiliates. If you do not have such authority, or if you do not agree to these Terms, you must not use the Service.

1. The Service

1.1 Service Description

WeezIQ provides a cloud-based artificial intelligence platform that enables customers to create, configure, and deploy AI-powered chatbots and agents for customer support, sales, lead generation, and user engagement (the “Service”).

Any data, documents, content, URLs, code snippets, text, files, or other materials uploaded, submitted, scraped, embedded, or otherwise processed through the Service by the Customer or its users are considered “User Submissions.” The Customer is solely responsible for all User Submissions.

The Service may include templates, documentation, dashboards, analytics, APIs, and other materials provided by WeezIQ (“WeezIQ Content”). Customers do not receive access to the underlying source code or software of the Service (collectively, the “Software”).

1.2 Subscription and Access

Subject to this Agreement, the Customer may purchase a subscription or use a free tier of the Service as described on WeezIQ’s website or applicable order screen (“Order”). Each subscription is valid for the period specified in the Order (“Subscription Period”).

Access is limited to individuals authorized by the Customer (“Users”) and may be used only for the Customer’s internal business purposes.

1.3 Ownership

WeezIQ retains all rights, title, and interest, including all intellectual property rights, in and to:

  • the Service,
  • the Software,
  • WeezIQ Content,
  • documentation,
  • APIs,
  • and all related technology and improvements (collectively, “WeezIQ Materials”).

No rights are granted except as expressly stated in this Agreement.

1.4 Permissions and Affiliates

The Service allows Customers to assign permissions and roles to Users. The Customer is solely responsible for managing all permissions and access levels.

Customers may permit their affiliates to use the Service. The Customer remains fully responsible for all acts, omissions, fees, and compliance obligations of its affiliates.

2. Restrictions

2.1 Customer Responsibilities

The Customer is responsible for all activity occurring under its account, including actions taken by Users, except where caused by a security failure solely attributable to WeezIQ.

2.2 Prohibited Use

Customers may not, directly or indirectly:

  • copy, modify, or create derivative works of the Service;
  • reverse engineer or attempt to extract source code;
  • resell, sublicense, or commercially exploit the Service without authorization;
  • remove proprietary notices;
  • use the Service in violation of applicable laws or regulations;
  • upload unlawful, infringing, harmful, or misleading content;
  • interfere with or disrupt the Service or its infrastructure;
  • use the Service to build or support a competing product;
  • perform unauthorized security testing or scraping of WeezIQ systems.

WeezIQ may suspend or restrict access if Customer usage threatens system integrity or violates this Agreement.

2.3 API Usage

API access may be subject to usage limits, rate limits, and fair-use policies. WeezIQ may modify, suspend, or revoke API access at any time.

3. Third-Party Services

The Service may integrate with third-party services, platforms, or tools (“Third-Party Services”). WeezIQ does not control and is not responsible for Third-Party Services.

Use of Third-Party Services is at the Customer’s own risk and subject to the third party’s terms. WeezIQ disclaims all liability arising from Third-Party Services.

4. Financial Terms

4.1 Fees

Fees are described on the applicable Order or pricing page. Fees are charged in the stated currency and are exclusive of taxes.

Subscriptions are non-cancellable during the Subscription Period.

4.2 Payments

Payments are processed via WeezIQ’s payment processor (e.g., Paddle). By subscribing, the Customer authorizes recurring charges until cancellation.

Failure to maintain valid payment information may result in suspension of access.

4.3 Taxes

Customers are responsible for all applicable taxes, duties, or assessments, excluding taxes based on WeezIQ’s income.

4.4 Non-Payment

WeezIQ may suspend access for unpaid invoices. Billing disputes must be raised within sixty (60) days of the charge.

5. Term and Termination

5.1 Term

This Agreement begins upon first access or subscription and continues for the Subscription Period, including renewals.

Customers may cancel future renewals through their account dashboard.

5.2 Termination for Cause

Either party may terminate this Agreement if the other materially breaches and fails to cure within thirty (30) days of notice.

WeezIQ may terminate free-tier access at any time.

5.3 Effect of Termination

Upon termination:

  • access to the Service will cease,
  • outstanding fees remain payable,
  • User Submissions may be deleted in accordance with WeezIQ’s data retention policies.
5.4 Survival

Sections relating to ownership, fees, confidentiality, data, disclaimers, liability, and general terms survive termination.

6. Warranties and Disclaimers

6.1 Customer Warranties

Customers represent that they have all rights necessary to submit User Submissions and that such content complies with applicable laws.

6.2 Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WeezIQ DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WeezIQ SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES;
  • TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY THE CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Confidentiality

Each party agrees to protect the other’s confidential information using reasonable care and to use it only for purposes of this Agreement.

9. Data

9.1 User Information

WeezIQ processes personal data in accordance with its Privacy Policy and Data Processing Agreement.

9.2 User Submissions

Customers retain ownership of User Submissions but grant WeezIQ a limited license to process them solely to provide the Service.

9.3 Service Data

WeezIQ may collect anonymized and aggregated usage data to improve the Service.

10. General Terms

  • Publicity: Use of Customer logos requires consent.
  • Force Majeure: Neither party is liable for events beyond reasonable control.
  • Changes: WeezIQ may update these Terms with advance notice.
  • Independent Contractors: No partnership or agency is created.
  • Assignment: WeezIQ may assign in connection with a merger or acquisition.
  • Governing Law: Governed by the laws of India.
  • Entire Agreement: This Agreement constitutes the entire agreement between the parties.
